Terms & Conditions

Please read these terms and conditions carefully before engaging in any B2B transactions or registering as a partner with CAR2TRADE.

These Terms and Conditions govern the relationship, transactions, and agreements between CAR2TRADE ApS (hereinafter “CAR2TRADE”) and its business-to-business (B2B) partners, buyers, and sellers (hereinafter “Partners”).

1. Scope of Agreement

CAR2TRADE operates strictly as a B2B automotive trading specialist. These terms apply to all vehicle sourcing, purchasing, sales, logistics, and consulting services provided by CAR2TRADE. By registering as a partner or entering into a transaction, the Partner explicitly accepts these terms. Any conflicting terms proposed by the Partner are hereby rejected unless agreed to in writing by CAR2TRADE.

2. Registration and Verification

To participate in trading activities with CAR2TRADE, Partners must undergo a rigorous business verification process. This includes providing a valid corporate registration, VAT number, dealer license (where applicable), and proof of identity of authorized representatives. CAR2TRADE reserves the right to refuse registration or terminate partnerships at its sole discretion without explanation.

3. Sourcing and Ordering

All sourcing requests and vehicle orders placed by the Partner represent a binding offer. Once CAR2TRADE confirms an order or sourcing agreement in writing (via email or contract), it becomes a legally binding transaction. Vehicle specifications, including model, trim, mileage, and condition, will be detailed in the specific transaction contract.

4. Pricing and Payment Terms

All prices quoted by CAR2TRADE are in Euros (EUR) or Danish Kroner (DKK) and are exclusive of VAT, customs duties, and local registration taxes, unless explicitly stated otherwise. Payment must be made in full via bank transfer to CAR2TRADE’s designated bank account within three (3) business days of invoice issuance. Vehicles will only be released for transport once full payment has been cleared.

5. Delivery and Logistics

CAR2TRADE coordinates vehicle transport through verified third-party logistics providers. Delivery times are estimates only and are subject to weather, customs, and transport conditions. Risk of loss or damage passes to the Partner upon vehicle handover to the carrier, unless a specific Incoterm (e.g., CIF, FOB, EXW) is agreed upon in the transaction contract.

6. Inspection and Claims

The Partner must inspect the vehicle immediately upon delivery. Any discrepancies, damages, or deviations from the contract specifications must be documented on the transport delivery note (CMR) and reported to CAR2TRADE in writing within twenty-four (24) hours of receipt, accompanied by high-resolution photographic evidence. Failure to report within this timeframe constitutes absolute acceptance of the vehicle.

7. Limitation of Liability

CAR2TRADE’s liability for any transaction is strictly limited to the purchase price of the specific vehicle in question. CAR2TRADE shall not be liable for any indirect, consequential, or punitive damages, including loss of profits, business interruption, or showroom delays.

8. Governing Law and Jurisdiction

These Terms and Conditions, and all transactions entered into under them, shall be governed by and construed in accordance with the laws of Denmark, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes arising out of or in connection with these terms shall be settled exclusively by the competent courts of Silkeborg, Denmark.
